can anyone say if a director attended the board meeting through video conferencing is valid under the companies Act ? ?Does it considered as quorum for the meeting ?

Dear krishnamani,
Unfortunately, Companies Act, 1956 has not been amended so far to that effect. Normally what companies do is they will hold Board meeting at the place where quorum directors are present and the other directors if any, will participate through video conferencing (VC). The idea is that the directors sufficient for quorum should participate personally. However, the opinions expressed by directors who participate via VC are also minuted when the minutes are prepared.

In the proposed new Companies Act board meeting through VC has been formalised. The new law recognises meetings in e-mode also.
